1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the website businessconnectionalliance.org, the Executive Portal, and any related applications, assessments, or networking services provided by Business Connection Alliance ("BCA", "we", "us", or "our").

By browsing our site, completing an assessment, registering for an account, or claiming an executive profile, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue using our Services.

2. Eligibility & Business Representation

Our platform is designed exclusively for commercial business owners, founders, C-suite executives, and vetted strategic advisors. By accessing or using our Services, you represent and warrant that:

• You are at least 18 years of age and legally authorized to enter into binding contracts under United States law.
• If accessing the platform on behalf of a company or entity, you have full legal authority to bind that entity to these Terms.
• All information submitted by you is accurate, truthful, and representative of your professional credentials.

3. Executive Accounts & Security

To access the Executive Dashboard and edit your profile, you will be issued or create authentication credentials. You are solely responsible for:

• Maintaining the confidentiality of your username, password, and single-use setup links.
• All activities that occur under your account credentials.
• Notifying BCA immediately at security@businessconnectionalliance.org upon becoming aware of any unauthorized account access.

BCA reserves the right to suspend or revoke access credentials at any time if any breach of security or violation of these Terms is detected.

4. Executive Profiles & Member-Submitted Content

Executives and advisors with active profile listings may edit and submit biography details, career achievements, testimonials, images, and contact links through our live editor.

• Accuracy & Ownership: You represent and warrant that you own or have the appropriate licenses and rights to all content, headshots, and media uploaded to your profile.
• License Grant: You grant BCA a non-exclusive, worldwide, royalty-free license to display, reproduce, format, and distribute your submitted profile information in connection with operating the Alliance directory and promoting Alliance members.
• Content Moderation: BCA reserves the right, but assumes no obligation, to review, edit, reject, or remove any profile content that violates our standards, infringes third-party rights, or contains inaccurate information.

5. Owner360 Diagnostic Assessment

The Owner360 diagnostic assessment and any resulting reports or scorecards are provided for informational, self-evaluative, and strategic educational purposes only.

Participation in the Owner360 assessment does not create a formal advisory, fiduciary, or consulting relationship with BCA or any affiliated advisor. Diagnostic findings do not constitute legal, tax, financial, or certified audit advice.

6. Prohibited Conduct

When using our website, portal, and directory, you agree that you will NOT:

• Scrape, harvest, or extract member contact details, email addresses, or phone numbers for unsolicited bulk email (SPAM) or third-party marketing databases.
• Impersonate any person, executive, or business entity, or misrepresent your professional affiliations.
• Upload malicious code, viruses, malware, or any script designed to compromise the security or performance of our platform.
• Attempt to reverse-engineer, decompile, or access non-public APIs, database tables, or backend systems.
• Interfere with, disrupt, or place an unreasonable load on our infrastructure.

7. Intellectual Property Rights

All intellectual property rights in the Services—including website design, software code, database architecture, the "Business Connection Alliance" and "Owner360" names and marks, logos, graphics, and editorial content—are owned by or licensed to BCA.

You may not copy, reproduce, distribute, or create derivative works from our intellectual property without our express prior written permission.

8. Disclaimer of Warranties

THE SERVICES, INCLUDING THE EXECUTIVE DIRECTORY, PORTAL, AND OWNER360 ASSESSMENTS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE UNITED STATES LAW, BCA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BUSINESS CONNECTION ALLIANCE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR STRATEGIC ADVISORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Business Connection Alliance, its officers, directors, members, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with your violation of these Terms or your profile content submissions.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland / Commonwealth of Virginia and the federal laws of the United States of America, without regard to conflict of law principles.

Any dispute arising under or relating to these Terms shall be resolved exclusively in the state or federal courts situated in the Greater Washington DC Metropolitan area, and you submit to the personal jurisdiction of such courts.

12. Termination & Suspension

We reserve the right to suspend or terminate your portal access, executive profile listing, or access to our Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other Alliance members or the Alliance's reputation.
